1. Introduction
Welcome to Jotsight.
These Terms of Service ("Terms") govern your access to and use of our website, software platform, mobile applications, and related services (collectively, the "Service").
The Service is a workplace safety management platform designed to help organisations manage safety-related processes, including inspections, observations, incident reporting, corrective actions, tasks, workflows, evidence collection, and safety-related reporting.
By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not access or use the Service.
If you accept these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation. In that case, "you" and "your" refer to that organisation and its authorised users.
Your use of the Service is also governed by our Privacy Policy, which forms part of these Terms.
Where we process personal data on behalf of an organisation customer, such processing may also be governed by our Data Processing Agreement ("DPA"), which may be made available upon request.
2. Use of the Service and Licence Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Service solely for your internal business purposes.
If you are an authorised user of an organisation customer, your access is limited to that organisation’s authorised use of the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You must not:
- Access the Service without proper authorisation
- Share account credentials with unauthorised persons
- Interfere with the security, integrity, or operation of the Service
- Attempt to bypass security controls or access restrictions
- Use the Service for illegal, fraudulent, harmful, or abusive purposes
- Create false, misleading, or fraudulent workplace safety records
- Copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Service without our prior written permission
- Reverse engineer, decompile, or attempt to extract source code from the Service except where permitted by applicable law
3. Accounts and Organisation Access
Certain features require account registration.
When creating an account, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of your login credentials
- Keep account information updated
- Accept responsibility for activities performed through your account
Organisations may invite authorised users to access the Service.
Organisation administrators are responsible for:
- Managing user invitations
- Assigning appropriate roles and permissions
- Ensuring users are authorised to access the platform
- Reviewing and removing access when appropriate
- Ensuring users comply with these Terms
We are not responsible for unauthorised access resulting from an organisation’s failure to properly manage user permissions.
4. Free Trials
We may offer free trials or evaluation periods for eligible organisations.
During a free trial:
- You may access available trial features
- Certain features may be limited
- Trial access may expire automatically after the stated trial period
Free trials are provided subject to these Terms.
At the end of the trial period, continued access to paid features requires a paid subscription.
If you do not subscribe after the trial period, we may suspend access to trial features or delete trial data after a reasonable period in accordance with our Privacy Policy.
We reserve the right to modify, limit, or discontinue trial offers at any time.
5. Subscriptions and Billing
Certain Service features require a paid subscription.
By subscribing, you agree to:
- Pay all applicable subscription fees
- Provide accurate billing information
- Authorise payment through our payment provider, including Stripe
- Pay applicable taxes and charges
Subscriptions may automatically renew unless cancelled before the renewal date.
Fees are non-refundable except where required by applicable law or expressly stated otherwise.
We may change subscription pricing by providing reasonable notice before the next billing period.
If payment is overdue, we may:

- Terminate access if payment obligations remain unresolved
Upon cancellation or non-renewal, access to paid features will continue until the end of the current billing period unless otherwise stated.
6. Custom Workflows and User-Generated Processes
The Service may allow organisations to create customised:
- Forms
- Checklists
- Workflows
- Tasks
- Reports
- Safety processes
You are solely responsible for:
- The information collected through your workflows
- How your workflows are configured
- The decisions made using information generated through the Service
- Ensuring your use complies with applicable laws, regulations, and industry requirements
We do not guarantee that any workflow, checklist, report, or configuration created through the Service satisfies your specific regulatory, safety, legal, or compliance obligations.
7. Workplace Safety Disclaimer
The Service is designed to assist organisations in managing workplace safety information and processes.
The Service does not:
- Provide legal advice
- Provide professional safety consulting
- Replace qualified safety professionals
- Guarantee regulatory compliance
- Guarantee that workplaces are safe
- Replace required inspections, audits, investigations, or reporting obligations
Organisations remain responsible for:
- Maintaining workplace safety practices
- Complying with applicable laws and regulations
- Making appropriate safety decisions
- Reviewing and verifying information entered into or generated by the Service
8. Customer Data and Ownership
You retain ownership of all data, records, content, and information submitted to the Service ("Customer Data").
Customer Data may include:
- Safety reports
- Inspection records
- Incident information
- Photos and attachments
- User-generated content
- Workflow information
- Operational records
You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, and display Customer Data only as necessary to:
- Provide and operate the Service
- Maintain platform functionality
- Provide customer support
- Protect security and reliability
- Comply with legal obligations
We may use aggregated, anonymised, or de-identified information that does not identify individuals or organisations to improve the Service.
We do not sell Customer Data.
We do not use identifiable Customer Data to train general artificial intelligence models unless explicitly agreed with the customer.

We and our licensors retain all rights, title, and interest in the Service, including:

- Source code
- Interfaces
- Documentation
- Designs
- Branding
- Logos
- Trademarks
- Related intellectual property
Except for the limited licence granted in these Terms, no rights are transferred to you.
You may not use our trademarks, branding, or intellectual property without prior written permission.
10. Security
We implement reasonable technical and organisational measures designed to protect the Service and Customer Data.
These measures may include:

- Role-based access permissions

However, no online system can guarantee complete security.

AI-generated results may not always be accurate and should be reviewed by authorised users before being relied upon for safety decisions, compliance activities, or operational actions.
Organisations remain responsible for verifying AI-generated information and determining whether it is appropriate for their use.
15. Suspension and Termination
We may suspend or terminate access to the Service if:
- You breach these Terms
- Payment obligations are not met
- The Service is used unlawfully
- Continued access creates security or operational risks
- Required by law
You may stop using the Service at any time.
Upon termination:
- Your licence to use the Service ends
- You must stop using the Service
- Data handling will continue according to our Privacy Policy and applicable agreements
Upon reasonable request, we may provide assistance with exporting Customer Data, subject to applicable subscription terms and technical limitations.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- RELIABILITY
- ACCURACY
We do not guarantee that:
- The Service will always be available
- The Service will be error-free
- The Service will satisfy specific regulatory requirements
- Information generated by the Service will be accurate or complete
Your use of the Service is at your own risk.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
WE WILL NOT BE LIABLE FOR:

- INCIDENTAL DAMAGES
- CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS
- LOSS OF BUSINESS OPPORTUNITY

18. Indemnification
You agree to defend, indemnify, and hold harmless Jotsight, its officers, employees, and representatives from claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Service
- Your Customer Data
- Your workflows or configurations
- Your violation of these Terms
- Your violation of applicable laws
- Claims that your data infringes third-party rights
19. Changes to These Terms
We may update these Terms from time to time.
For material changes, we may provide notice through:
- The Service
- Other reasonable communication methods
Continued use of the Service after updated Terms become effective means you accept the revised Terms.
20. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent.
We may assign or transfer these Terms (including any rights or obligations) freely, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets, without your consent. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
21. Force Majeure
We are not responsible for any delay or failure to perform our obligations under these Terms where such delay or failure results from events beyond our reasonable control, including natural disasters, acts of government, labour disputes, internet or telecommunications failures, cyberattacks, power outages, epidemics, pandemics, or failures of third-party service providers.
22. Entire Agreement
These Terms, together with our Privacy Policy, any applicable Data Processing Agreement, and any written order form or subscription agreement between you and us, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous discussions, understandings, proposals, or agreements relating to the Service.
23. Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision or any other provision in the future. Any waiver must be in writing and signed by us to be effective.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore, and each party irrevocably submits to the jurisdiction of those courts.
